What Non-Residents Need To Know Before Registering A UK Company

You just have to know the legal requirements, draft the appropriate information, and organize appropriate UK-based services where required. After registration, you should also be aware of what is left to do.  

The main requirements that are important to non-resident company formation should be known before you commence with the process. This is what you need to prepare and consider, and it is explained in the following six points. 

1. Check If You Can Register Without Living In UK 

You do not need to live in the UK to set up a UK company as a non-resident. UK legislation permits foreign residents to join the board of directors or be shareholders. A UK private limited company needs at least one director and one shareholder. As a non-resident, you can fulfil both roles yourself, provided you meet the relevant requirements. A director must also be at least 16 years old. 

You should also understand your responsibilities before accepting the director role. Directors are responsible for managing the company and ensuring required information and filings remain accurate. 

Your company will also need to identify any people with significant control, known as PSCs. Generally, someone who owns more than 25% of the shares or voting rights must be recorded as a PSC. 

Therefore, decide your ownership structure before submitting the application. If you are the only owner, the structure can be relatively straightforward. If several people will own the company, establish their shareholdings clearly from the beginning. 

3. Prepare Required Information and Documents 

Preparation can make the registration process much easier. Before applying, gather the information Companies House requires and check that your details are accurate. 

Start by selecting a company name that is available and does not create a prohibited or misleading connection with another organization. You will also need your registered company details, director information, shareholder details and SIC codes. 

You should also prepare identification and address documents for the relevant people. Non-residents may need to provide documents that allow their identity and residential address to be verified. 

Since identity verification became a mandatory requirement for directors from 18 November 2025, this step deserves particular attention. New directors must complete verification before their appointment can be registered. 

You can complete verification through the GOV.UK One Login route where eligible, or through an Authorized Corporate Service Provider. The available route can depend on the identification documents you hold. 

4. Choose Suitable UK Registered Office Address 

A UK registered office address is a legal requirement for every UK company. It must be a physical address in the UK and cannot simply be a PO Box. Companies House and HMRC use this address for official correspondence, and it appears on the public company record. 

This can be one of the main practical challenges for a non-resident. If you live overseas, you cannot use your overseas home address as your UK registered office. 

Instead, you can arrange a suitable registered office address service in the UK. This gives your company a valid UK address for official correspondence without requiring you to maintain a physical office there. 

You may also want to consider a director service address. This can help keep your residential address away from the public register where applicable. 

Therefore, consider your address arrangements before submitting your company application. Having the correct address in place can help you meet an important legal requirement from the outset. 

5. Complete Companies House Identity Verification 

Identity verification is now an important part of UK company formation. Under changes introduced through the Economic Crime and Corporate Transparency Act, directors must verify their identity with Companies House. 

For non-residents, completing this step from overseas may require some preparation. Companies House provides an online verification route through the GOV.UK One Login app for people with compatible biometric passports. Another option is to use an Authorized Corporate Service Provider. 

The second route can be useful if your available identification documents do not work with the app. An authorized provider can carry out the required checks on your behalf under the relevant process. 

Once your identity has been verified, you receive a unique personal code for future director appointments. Therefore, completing verification correctly is not simply an administrative formality. It forms part of your ongoing interaction with Companies House. 

6. Plan For Ongoing UK Company Compliance 

Company registration is only the beginning. Once your UK company is active, you will have continuing filing and record-keeping responsibilities, even if you manage the business from another country. 

For example, you must file a confirmation statement with Companies House each year. This confirms that key company information remains accurate. You will also need to file annual accounts, including dormant accounts if your company is not trading. 

Tax responsibilities also need attention. If your company carries out business activities and becomes liable for Corporation Tax, you must meet HMRC registration and filing requirements. You should also keep your PSC information up to date. 

Because you are based overseas, it can be easy to overlook UK deadlines. Set reminders, maintain accurate records and consider professional support if you are unsure about your filing obligations.
